E. Miles Prentice, III is a Director of the Issuer and serves on the Boards of various other affiliates of the Issuer. Mr. Prentice was elected to the Issuer’s Board in 1991. He is a Partner in the New York City law firm of Eaton & Van Winkle. Mr. Prentice is a Trustee of Washington and Jefferson College, a Director of Gold Banc Corporation in Leawood, Kansas, as well as a Director of a number of wholly owned U.S. Subsidiaries of various foreign corporations. He is a majority owner and President of Midland Sports, Inc., which operates the Midland Rockhounds AA minor league team in the Texas League, as well as Director of the Texas League of Professional Baseball Clubs, Inc.
