Thomas H. MacLeay
Thomas MacLeay is Chairman of the Board, President and Chief Executive Officer of the National Life Group and
was elected to the Board in 1996. He served as president and chief operating officer of National
Life from 1996 until his brief retirement in 2001, and returned to the company to fill the top
executive positions, first on an interim and subsequently on a permanent basis. He joined National
Life in 1976 and served in several investment management, corporate planning and financial roles
before being appointed chief financial officer in 1991. Tom is also Chairman of the Board of Sentinel
Group Funds, Inc. and currently serves on the Board of Directors of Chittenden Trust Company,
the Life Office Management Association and the Central Vermont Economic Development
Corporation, and is a Trustee and Chairman of the Finance Committee of the Air Force Aid
Society.

David R. Coates
David Coates is a Director of National Life Group and was elected to the Board in 1993.
Coates, a retired managing partner of KPMG's Burlington, Vermont, office, also held several
key leadership positions at the New England Culinary Institute. Coates is a member of the
Vermont District Advisory Board of Key Bank; Director of Green Mountain Power Corp., A.N.
Deringer, Inc., Union Mutual Fire Insurance Company, New England Guaranty Insurance Company,
Inc. Lake Champlain Maritime Museum and director of the Fletcher Allen Health Care Foundation.
Coates was elected as the Vermont Chamber's Citizen of the Year in August of 2003. He is a
member of the Governor's Council of Economic Advisors, the Governor's Advisory Board for
Economic Development, the Vermont Debt Affordability Advisory Committee, the Vermont
Municipal Bond Bank and the American Institute of CPAs. |

Deborah G. Ellinger
Deborah Ellinger is a Director of National Life Group and was elected to the Board in 2007. She
was previously the Chief Executive Officer, President, and Chief Operating Officer of Wellness Pet
Food and Old Mother Hubbard, the Massachusetts-based manufacturer of healthy natural pet food.
Ellinger’s previous posts include executive vice president of CVS Pharmacy, senior vice president
of Staples, and a partner with the Boston Consulting Group. Earlier in her career she was also a
vice president with Mellon Financial Services, with positions in Pittsburgh, London, and Los
Angeles. She is a graduate of Cambridge University in England, and also a Barrister-at-Law in the
Courts of England and Wales.

Deborah G. Ellinger

Bruce M. Lisman
Bruce Lisman is a Director of National Life Group and was elected to the Board in
2002. Lisman is the Senior Managing Director and head of the Global Institutional Equities
Division of Bear Stearns Companies in New York. He is also a member of the Bear Stearns
Company Board of Directors, serving as a member of the Management Committee as well as
various operating committees. Lisman is also a Director of Central Vermont Public Services,
VELCO, Merchants Bancshares, American Forests, and is a Trustee of The Shelburne Museum.
Lisman is a graduate of the University of Vermont and is the Immediate Past Chair of the
Board of Trustees.

V. Louise McCarren
Louise McCarren is a Director of National Life Group and was elected to the Board in 2002.
McCarren is Chief Executive Officer of Western Electricity Coordinating Council. She is the former
Chair of the Fletcher Allen Board of Trustees and a former member of the Board of Directors of the
Vermont Business Roundtable, the Vermont Technology Council, VTAC, Lake Champlain Regional Chamber
of Commerce, and the New England Council. She is also a member of the Board of Trustees of Vermont
Law School. McCarren is the former president and chief executive officer of Verizon-Vermont, former
chair of Vermont's Public Service Board and was an assistant to the president of the University of
Vermont.

Dr. Roger B. Porter
Roger Porter is a Director of National Life Group and was elected to the Board in 1996.
He is the IBM Professor of Business and Government and the Master of Dunster House at Harvard
University. He is a Senior Scholar at the Woodrow Wilson International Center for Scholars and
serves on the Board of Directors of Zions Bancorporation, Tenneco Automotive, Inc., Pactiv
Corporation, Extra Space Storage and Packaging Corporation of America. He is a Board Member of the White House
Historical Association and a Trustee of the Gerald R. Ford Foundation. |

E. Miles Prentice, III
Miles Prentice, III is a Director of National Life Group and was elected to the Board in
1991. He is a Partner in the New York City law firm of Eaton & Van Winkle. Prentice is a Trustee
of Washington and Jefferson College and the National Association of Professional Baseball Leagues,
Inc. Prentice is Director of Gold Banc Corporation in Leawood, Kansas, as well as a Director of a
number of wholly-owned U.S. subsidiaries of various foreign corporations. He is a majority owner
and President of Midland Sports, Inc., which operates the Midland Rockhounds AA minor league team
in the Texas league, as well as Director of the Texas League of Professional Baseball Clubs, Inc.
Prentice is also the majority owner and President of Odessa Sports, Inc. which operates the Odessa
Jackalopes, a minor league hockey team in the Central Hockey League. |

Harris H. Simmons
Harris Simmons is the Chairman, Chief Executive Officer and President of Zions
Bancorporation and is the Chairman of Zions First National Bank. A graduate of the
University of Utah and Harvard University, Simmons is on the Boards of Directors of
Questar Corp. and O.C. Tanner Co. He is past chairman of the American Bankers Association,
a member of the Financial Services Roundtable, President of the Shelter-the-Homeless
Committee and chairs the capital campaign for the Great Salt Lake Council of The Boy Scouts
of America.

Mehran Assadi
Mehran Assadi joined National Life Group in September 2003 as Interim Chief Information
Officer. In May of 2004, he was named Interim Chief Operating Officer, with responsibilities
encompassing all of the company's distribution, sales and marketing areas, as well as new
business and customer service. In April of 2005, Assadi accepted the position of President - Life and Annuity.
Assadi previously served as Chief Marketing Officer and Chief Information Officer at Provident
Mutual in Newark, Delaware. Prior to his association with Provident Mutual he served in
various senior positions with United States Fidelity and Guaranty of Baltimore.

Michele S. Gatto
Michele S. Gatto joined the company in 1999 as Senior Vice President and General Counsel.
She was appointed Executive Vice President - Corporate Services and General Counsel of the
National Life Group in May, 2003. Formerly she was vice president, general counsel and corporate
secretary of Massachusetts Casualty Insurance Company, a subsidiary of Sun Life Assurance Company
of Canada (U.S.), from 1997 until its sale in 1999. From 1986 until 1997, Gatto served in
a number of positions with increasing legal and management responsibility within the Law
Department at The Paul Revere Corporation, now merged with UNUM-Provident Corporation. |

Edward J. Parry, III
Edward J. Parry, III was named chief financial officer of National Life Group in May
2008 after serving as interim chief financial officer since November 2007. He came to National Life from The
Hanover Group where he had been appointed chief financial officer and a member of the company’s Operating
Committee in 1996. He was named executive vice president in October 2003 and was appointed to
the Board of Directors in December 2003. He led the company’s financial, claims, investment, life insurance and technology operations.
Parry joined The Hanover Insurance Group as a mergers and acquisitions specialist in
1992. He was appointed vice president and treasurer in 1993 and played a lead role in
the many critical strategic and financial initiatives undertaken by the company since
that time, including, notably, the conversion to a publicly held company in 1995, and
the sale of the company’s variable life insurance and variable annuity business to The
Goldman Sachs Group, Inc. in 2005. |

Christian W. Thwaites
Christian W. Thwaites joined National Life Group in January 2005. He is the President and Chief Executive
Officer of Sentinel Funds, Sentinel Asset Management, Inc. and Sentinel Administrative Services, Inc.; and Chief
Executive Officer of Sentinel Financial Services Company. Previously he was the CEO of Skandia Global Funds PLC,
where he built and led Skandia's global investment management and multi-manager mutual fund group from 2001 to
2004. Prior to his leadership of the Skandia fund group, he served as senior vice president and national marketing
director of American Skandia, Inc. He was formerly with the Monitor Group, a Boston-based investment consulting
firm, and between 1988 and 1995, he served as vice president of Aetna Life and Annuity, heading the marketing
operations for that company's mutual fund business. |
